General Terms and Conditions

1. Scope of Engagement

These General Terms and Conditions govern the professional services provided by Psycode Lab’s (the “Company”) to the Client. The specific details of work, including deliverables and technical requirements, are defined in the Project Proposal (Schedule A) associated with each engagement.

2. Payment Terms & Schedule

  • Commencement Deposit: A non-refundable fee of 40% of the total project value is required before any work begins.

  • Milestone Payments: Remaining balances are payable upon the completion of specific project stages as outlined in the formal invoice (Schedule B).

  • Late Fees: Payments delayed beyond 15 days of the invoice date may result in a temporary suspension of services.

  • Taxes: All fees quoted are exclusive of government taxes or levies unless explicitly stated.

3. Hosting & Domain Management

  • Third-Party Services: The Company facilitates hosting and domain registration via third-party providers. The Client agrees to be bound by the terms of service of these external providers.

  • Service Continuity: While we aim for 99.9% uptime, the Company is not liable for service interruptions caused by third-party server issues or necessary emergency maintenance.

  • Account Suspension: The Company reserves the right to suspend hosting services if ongoing maintenance fees or project balances remain unpaid for over 30 days.

4. Managed Services & Maintenance

  • Maintenance Scope: Monthly managed services include CMS updates, security patches, and routine backups.

  • Support Hours: Standard support is provided during business hours. Requests outside of the agreed maintenance scope will be treated as additional tasks and billed at the Company’s standard hourly rate.

  • Data Integrity: While the Company performs regular backups, the Client is responsible for maintaining independent copies of critical business data and content.

5. Intellectual Property & Rights

  • Ownership Transfer: All rights, titles, and interests in the final deliverables transfer to the Client only upon receipt of full and final payment.

  • Company Credit: The Company reserves the right to include a small “Developed by Psycode Lab’s” credit in the website footer and to showcase the project in its professional portfolio, unless otherwise agreed via an NDA.

6. Client Responsibilities

  • Content Provision: The Client must provide all text, logos, and media assets required for the project in a timely manner.

  • Approvals: To maintain project timelines, the Client must provide feedback on milestones within 5 business days. Significant delays may result in the project being moved to “Inactive” status, requiring a restart fee.

7. Termination & Cancellation

  • Notice Period: Ongoing service agreements may be terminated by either party with 30 days’ written notice.

  • Cancellation Fee: If a project is cancelled by the Client after commencement, the initial 40% deposit is retained, and any additional work completed up to the date of cancellation will be invoiced.

8. Governing Law

These terms are governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka. Any disputes arising shall be subject to the exclusive jurisdiction of the Sri Lankan courts.
